Registry Operation

This service is intended for any company, with issued registered securities. These are closed joint stock companies and any company of any legal and organizational structure, with issued bonds.

 

ACBA-CREDIT AGRICOLE BANK is a member to Securities Registration and Settlement Unified System, and was granted Account Operator status by ''Central Depository of Armenia'' OJSC.

 

In the capacity of Account Operator, the bank mediates Registry Operation service, proceeding any legal instruction related to operation of registry of registered securities, made by the client.

In the scope of Registry Operation service mediation, the Bank also performs the following:

  

  •  Mediation of corporate securities underwriting,
  •  Corporate actions related to securities, i.e. increase of charter capital through increase of nominal value of shares and decrease of charter capital through decrease of nominal value of shares, as a result of reorganization (except for restructuring) conversion of shares into other securities, consolidation of shares, division of shares, upon the decision of the Issuer, conversion of one class (type) of shares into another class (type) of shares, purchase of securities (other than bonds), buyback and retirement of shares,
  •  Provision of information from the system and change thereof to the Issuer.

 

 Registry operation contract is RENEWED, if

 

  •  If the Registry of the holders (nominees) of the registered securities issued by the Company was previously operated by the Central Depositary,
  •  The Registry is currently operated by another mediating Account Operator, however the Company is willing to receive ACBA-Credit Agricole Bank mediated service of Registry Operation.

 

 The documents required for the renewal of the contract:

 a) The Issuer application addressed to Bank CEO for conclusion of a contract on Operation of Registry of holders (nominees) of the registered securities, sealed with Issuer’s seal and signed by the authorized representative of the Issuer.

b) Issuer card,

c) Application for granting International Securities Identification Number (ISIN) or securities identification code (SIC).

d) Copy of document, confirming state registration of the Issuer (including all the existing inserts),

e) Copy of the document, confirming authorities of the Issuer's executive body, the ID of the head of Issuer’s executive body and latter’s authorized representative (if any).

 

ATTENTION. In the process of renewal of the contract there may be a need to provide additional information and documents, aiming at ensuring proper registry operation of the Issuer.

 

The contract on operation of registry is CONCLUDED, in case the Issuer assigns the operation of the registry to the Central Depositary for the first time. In the process of conclusion of the contract the bank shall represent the Issuer in latter’s relationships with the Central Depositary.

 

 Document required for the conclusion of contract:

a) The Issuer application addressed to Bank CEO for conclusion of a contract on Operation of Registry of holders (nominees) of the registered securities, sealed with Issuer’s seal and signed by the authorized representative of the Issuer,

b) Copy of document, confirming state registration of the Issuer (including all the existing inserts),

c) Issuer card, which contain Issuer name, location, mailing address, contacts, the country where state registration was made, tax payer’s registration code (if there is not such code, the identification number issued by corresponding state authority), information on payment agent of the Issuer, which is competent to distribute payments to the security holders in the name of the Issuer (if any),

d) Security class card,

e) Copy of document confirming the authorities of the Issuer’s executive body,

f) ID of the head of Issuer’s executive body and authorized representative thereof (if any),

է) Reference on existence (printing) of stock certificates,

g) Soft and hard copies of the list of holders (nominees) of registered securities (except for issued, however not yet underwritten securities)ª, indicating the total number of securities of given class, nominal value thereof. The hard copy should be sealed with Issuer’s seal (if any) and signed by the head of executive body. The soft copy should be submitted to the bank on CD-R media. If the contract concluded with the Issuer relates to such class of securities, which are not yet underwritten, i.e. there is no holder of that class of securitiesª, the Issuer shall submit to the Bank Securities class card,

h) Application for granting International Securities Identification Number (ISIN) or securities identification code (SIC).

 

ATTENTION. In the process of conclusion of the contract there may be a need to provide additional information and documents, aiming at ensuring proper registry operation of the Issuer.

 

In case the documents submitted by the Issuer meet all the requirements, the contract on Registry Operation shall be concluded or renewed within 1 BUSINESS DAY.

In case of failure to fulfill the obligations assumed by Registry Operation contract in timely manner, the Issuer shall be charged a penalty 0,15% of the amount subject to payment for each day of delay.
